Purpose

Reporting to the Head Legal Services & Compliance, the successful candidate will be responsible forensuring that company funds are not dissipated through the payment of frivolous claims, penalties and other fines etc. whilealso advising Management and other staff of their legal relationships with the third parties in other to avert future contentions andlitigation. Specifically, the candidate will:
Draft Contract, Agreements, SLAs and MOUs
Review and vet documents
Monitorlitigations/ Contentious matters
Ensure proper protection of the company’s legal assets
Ensure proper legal records of the company are kept and maintained
Coordinate the legal activities of the Branches/ Business locations
Render regular returns to Regulatory bodies
Monitor compliance of all Laws, Statutes and regulations as pronounced from time to time

Qualification

A good bachelors degree in Law from a reputable institution or law firm
Must have been called to the Nigerian bar
At least 1 year professional experience working in a reputable insurance company
The ability to work and liaise with law enforcement agencies
Excellent written and oral communication skills
Excellent analytical ability and verifiable good commercial judgment
Good interpersonal and communication skills.
Higher degree(s) or relevant professional qualification(s) will be added advantage.

Manage the Corporate Governance of GP
Responsible for all international transactions and coordination of International and Local Counsels
Lead in-house team on all negotiations with third parties, review of term sheets, drafting of all agreements and replace outside Counsel
Maintain up-to-date statutory books for the Company
Keep the records of the Company and perform such other duties and functions as the Executive Chairman may from time to time direct
Provide legal advice on issues as concerns:
Administrative law
Procurement or contract law or rules,
Legislative analysis
Provide legal support in consultation with third party Legal Counsels;
Anticipate and identify legal issues, provide analysis, counsel and guidance for senior executives, administration and business unit management.
Work with individuals and Consultants appointed by the CEO to manage the Company’s project development process and other activities to ensure efficient utilization of resources in conformity with acceptable operating standards.
Liaise with the Company Secretary to ensure strict compliance with all communications and requirements of the Regulatory Agencies.
Liaise and coordinate requirements of, and activities with, the relevant regulatory agencies such as NERC, NCC and the Corporate Affairs Commission. Prepare and submit all reports and correspondence to same Agencies as and when due.
Represent the company as the legal expert, including liaising with the Unions when necessary as well as in adversarial meetings; arbitration hearings; employee discipline hearings, etc
Drafting and reviewing legal documents such as MOU’’s, PPA’s, GSA’s, Consulting Services Agreements, Confidentiality Agreements, etc.
Provide expert legal advice regarding: interpretation of procurement statutes and regulations; the procurement process; evaluation, negotiation, award, and performance phases of contracting.
Provide expert legal review of procurement documents, proposed contracts, and proposed solicitations, in accordance with review criteria established by governmental regulatory agencies, to ensure compliance with appropriate policies, procedures, rules, regulations, and laws.
Provide legal opinion and direction for other applicable regulatory and employee benefits laws on matters involving executive compensation, qualified retirement plans and health and welfare benefits

Crude oil pricing computation and administration – negotiate and secure liftings with NNPC/COMD
Ensure timely preparation and filing of estimated and final PPT returns with FIRS on due datesi.e. February 28 and May 31, respectively.
Ensure monthly tax returns are prepared and issued and advice management of liability.
Ensure all the PSC accounting schedules are accurately prepared and timely filed on NNPC.
Ensure that Profit Oil entitlements for both Addax and NNPC are accurately determined.
Coordinate with and assist FIRS and NNPC Auditors in the fulfilment of their duties i.e. tax audit and cost verification exercise.
Responsible for estimating monthly royalties for all the producing fields as well as preparing actual monthly royalties based on reconciled production.
Coordinate lifting activities with COMD and Addax/UNIPEC Trading group
Interface with Group Functional personnel.
Ensure quality and accurate reports from Commercial Department and also meeting deadlines for the department’s work processes
Reviewing and addressing all tax claims from tax authorities
Manage, train and motivate subordinate staff as well as safeguarding company assets.

Member of the Business Services Leadership Team

Qualification

15+ years E&P experience, including 5+ in a senior management role
